Terms and Conditions

1. Agreement to Terms
By accessing and using TradeWeb's services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.
2. Service Descriptions
2.1 Option A: One-Time Payment ($1,500)
- Custom website design and development delivered within 7 business days from deposit receipt
- Includes: mobile-responsive design, contact forms, photo gallery, and Google Maps integration
- One round of revisions included within 14 days of initial delivery
- Client receives full ownership of all website files and source code upon final payment
- Hosting is NOT included; client is responsible for obtaining and maintaining hosting (typically $10-15/month)
- We will provide deployment assistance and documentation
2.2 Option B: Monthly Service ($500 setup + $100/month)
- All features from Option A
- Hosting included (we maintain and manage hosting infrastructure)
- Unlimited small updates (text changes, photo swaps, minor content adjustments)
- Email support with response within 1-2 business days
- Automatic backups and SSL certificate maintenance
- TradeWeb retains ownership of website files during active subscription
- Minimum 3-month commitment required; month-to-month thereafter
- Upon cancellation, client may purchase source code for $1,000 or website will be taken offline
3. Payment Terms
- Option A: 50% deposit ($750) required to begin work; remaining 50% due upon delivery before final files are transferred
- Option B: $500 setup fee due upfront; first month's payment ($100) due upon launch; subsequent monthly payments due on the same date each month
- Payments accepted via bank transfer, credit card, or other agreed-upon methods
- Late payments may result in service suspension after 7 days past due
- Failed payments incur a $25 administrative fee
4. Delivery Timeline
- 7 business days from deposit receipt, provided client submits all required content (logo, photos, text, business information) within 2 business days of deposit
- Delays in content submission will extend delivery timeline proportionally
- Timeline is an estimate; unforeseen circumstances may cause reasonable delays
- Client will be notified immediately of any expected delays
5. Client Responsibilities
- Provide all necessary content (logo, photos, text, business details) in a timely manner
- Ensure all content provided is legally owned or properly licensed
- Respond to revision requests and communications within reasonable timeframes
- For Option A: Secure and maintain hosting services
- Review and approve deliverables during revision period
- Comply with all applicable laws regarding website content and business operations
6. Revisions and Changes
- Initial Development: One round of revisions included within 14 days of initial delivery
- Option A Post-Launch: Minor text corrections are free for 30 days; additional changes billed at $75/hour
- Option B: Unlimited small updates included (text, photos); major redesigns or new features subject to additional fees
- "Small updates" defined as: text changes, image swaps, contact info updates, minor styling adjustments (estimated under 1 hour of work)
- "Major changes" include: new pages, significant design overhauls, custom functionality, third-party integrations
7. Intellectual Property
- Option A: Upon full payment, client receives full ownership and all rights to website design, code, and assets (excluding third-party libraries/frameworks)
- Option B: TradeWeb retains ownership during active subscription; client receives usage rights; upon cancellation, client may purchase ownership for $1,000
- Client retains ownership of all provided content (logos, photos, text)
- TradeWeb reserves the right to showcase completed work in portfolio with client permission
- Open-source libraries and frameworks remain under their respective licenses
8. Refund and Cancellation Policy
8.1 Option A (One-Time)
- Deposits are non-refundable once work has commenced
- If TradeWeb cannot complete the project, deposit will be refunded proportionally to work completed
- Client may cancel before work begins for full refund minus $100 administrative fee
8.2 Option B (Monthly)
- Setup fee ($500) is non-refundable
- 3-month minimum commitment required; cancellation requests honored after 3 months
- 30 days written notice required for cancellation
- No refunds for partial months
- Upon cancellation, website will be taken offline unless client purchases source code for $1,000
9. Warranties and Disclaimers
- TradeWeb provides services on an "as is" basis
- We warrant that websites will be functional and substantially conform to agreed specifications at time of delivery
- We do not guarantee specific business results, traffic, leads, or sales
- We are not responsible for content accuracy, legality, or compliance provided by client
- For Option A: Post-delivery maintenance is client's responsibility unless additional support is purchased
- We do not warrant compatibility with future third-party software updates or hosting environment changes
10. Limitation of Liability
- TradeWeb's total liability shall not exceed the amount paid for services
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not responsible for losses due to: hosting failures, third-party services, client content, or circumstances beyond our control
- For Option B: Maximum monthly liability is $100 (one month's fee)
- Client agrees to indemnify TradeWeb against claims arising from client-provided content or use of website
11. Hosting and Third-Party Services
- Option A: Client responsible for obtaining hosting; we recommend providers but make no guarantees about their services
- Option B: We manage hosting but are not liable for hosting provider outages or issues beyond our control
- We may use third-party services (fonts, analytics, forms); client agrees to their respective terms
- Domain registration and renewal are client's responsibility in both options
12. Confidentiality
- Both parties agree to keep confidential information private
- Confidential information includes: business strategies, proprietary data, access credentials
- Does not include: publicly available information or information required to be disclosed by law
13. Dispute Resolution
- Parties agree to attempt good-faith negotiation before legal action
- If necessary, disputes shall be resolved through binding arbitration in Texas
- Each party responsible for own legal fees unless awarded by arbitrator
- Texas law governs these terms
14. Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, or internet/utility failures.
15. Modifications to Terms
- TradeWeb reserves the right to modify these terms with 30 days notice
- Existing projects are governed by terms in effect at project start
- For Option B: Continued use after modification constitutes acceptance of new terms
16. Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
